Application
1.1. Every transaction between the buyer and the seller is concluded exclusively based on these General Terms and Conditions. Any other terms are agreed upon explicitly in writing between Impresa Missoni d.o.o. and the buyer. These Terms apply to the entire business relationship between the seller and the buyer, and by using the website, the buyer confirms they have read and agree to them.

1.2. For the purposes of these provisions, a consumer is any natural person entering into a legal transaction for purposes outside their commercial or professional activity. An entrepreneur is any natural or legal person or business entity acting within the scope of their commercial or professional activity.
Product Offer & Order
2.1. Presenting products in the online store is not a legally binding offer, but an invitation for the buyer to make an offer.
Key Product Features
3.1. Impresa Missoni d.o.o., through the Chillamas webshop, offers flowers and flower powders (THC < 0.2%) of industrial hemp as aromatic substances. These products are not intended for consumption and must not be further processed if the resultant product would not comply with applicable national laws. Quantities are stated in grams.
Purchase Procedure
4.1. The buyer may, without obligation, select products and add them to the shopping cart via the “Add to Cart” button.
4.2. The buyer may complete the order via the “Checkout” button.
4.3. By clicking “Buy,” the buyer is committing to purchase the items in the cart and may review or change details before submitting payment. Required fields are marked with an asterisk (*).
4.4. The seller then sends an automated order confirmation email listing all purchase details. This is proof that the order was received but does not constitute a purchase agreement. The purchase agreement is only concluded when, within 5 business days, the seller either ships or delivers the product, or confirms shipping via email, contract, or invoice.
4.5. For prepayment orders, bank details and payment instructions are included in the purchase agreement. If payment is not made within 5 business days of confirmation, the agreement is void and the order is canceled without further obligations. Prepaid items may be reserved for up to 10 days.
Prices & Shipping Costs
5.1. Prices stated in euros are gross amounts, including applicable VAT. The total shown at checkout includes actual shipping costs, displayed either as actual cost or a flat rate. VAT rates may vary by product category.
Payment Terms
6.1. Payment is due when the purchase agreement is concluded. Payment is considered timely if the amount is credited on the due date. Payment methods include bank transfer/prepayment, credit card, or cash on delivery.
6.2. If payment is by bank transfer, the transfer order must be submitted within 5 business days of confirmation. The buyer is liable for any delay unless caused by the bank. Shipping is done upon receipt of payment.
6.3. Invoices are sent exclusively by email at checkout.
6.4. For transfers from non-SEPA countries, the buyer covers any additional bank fees.
6.5. Cash-on-delivery is paid in cash to the courier at delivery. If the recipient is unavailable, the courier leaves a delivery notice.
6.6. For business customers, the seller may allow payment on collection under certain conditions, with payment due on the day of collection.
6.7. Set-off rights are not recognized unless legally justified or with written seller consent.
6.8. Exchange rate adjustments may apply for non-euro payments; the rate is based on the ECB rate on the payment date.
Late Payment
7.1. In case of late payment, the seller may charge statutory interest: 4% above the base rate for consumers, or 9.2% for entrepreneurs.
7.2. The seller may also claim damages due to necessary costs of extrajudicial collection, provided such costs are proportionate to the claim.
7.3. Compounded interest may be charged from the date of delivery; rate is 4% per annum unless otherwise agreed.
Delivery
8.1. Delivery is made without delay, but no later than within 5 business days after order receipt. If delivery is delayed more than two weeks, either party may rescind the contract. Delivery follows once the buyer has fulfilled all obligations, typically full payment.
Product Availability
9.1. If a product is permanently unavailable but still shown as available, the seller notifies the buyer in the order confirmation; the purchase agreement cannot be concluded, and payment is refunded without delay. The buyer may request an alternative product of equal value.
9.2. If a product is temporarily unavailable, the buyer is informed in the confirmation and may retain the order; when restocked, priority is given based on the chronological order of payments.
Transfer of Risk on Delivery
10.1. For consumer transactions with delivery by carrier, risk of loss or damage transfers to the buyer only when the product is delivered to the buyer or their authorized third party.
10.2. If the buyer chooses their own carrier instead of the seller’s, risk transfers when the carrier takes possession. Ownership transfers simultaneously with the transfer of risk unless otherwise agreed.
10.3. For business customers, risk transfers at delivery to the chosen service provider.
Liability
11.1. The seller is fully liable for gross negligence or willful misconduct. For business customers, the burden of proof for minor or greater negligence lies with the buyer.
11.2. For slight negligence, the buyer has no right to claim damages, except in cases of bodily injuries, breaches of essential contractual obligations, or in consumer transactions involving defects in goods intended for further processing.
11.3. Unless liability is legally excluded or limited, this includes personal liability of the seller’s employees, agents, or representatives.
Retention of Title
12.1. All contracts are subject to retention of title. Delivered goods remain the seller's property until the buyer fully pays the purchase price. If the buyer receives the product without full payment, they bear the risk of depreciation or loss until payment is complete.
Warranty and Guarantee
13.1. Products in the online store are subject to statutory warranty. Product descriptions in catalogs or online do not constitute additional guarantees.
Consumer Right of Withdrawal
14.1. Consumers may withdraw from a distance contract within 14 calendar days of receiving the goods, without reason.
14.2. The withdrawal period starts when the consumer or their authorized representative (not the courier) takes possession of the goods. For multiple shipments, it starts upon receipt of the last item. The date of shipment is decisive for withdrawal claims.
14.3. A withdrawal request can be sent via email (llama@chillamas.com) or by mail. A withdrawal form may be used but is not mandatory.
14.4. Right of withdrawal does not apply to customized goods, sealed products that have been opened, or perishable goods.
14.5. If the withdrawal is valid, the seller must refund the price paid (including standard shipping costs) without delay and no later than 14 days after receiving the withdrawal notice. A refund may be delayed until the seller receives the goods or proof of return.
14.6. Refunds are made using the same payment method, without interest. No extra shipping costs will be reimbursed.
14.7. The buyer must return goods without undue delay, at latest within 14 days of withdrawal notice. Items are considered returned on time if proof of dispatch is provided.

14.9. The consumer bears the direct costs of return shipment.
Contract Record
15.1. The seller stores the contractual text of the order. The General Terms and Conditions are accessible online.
15.2. After completing an order, the buyer receives an email confirmation. The seller also sends a notice of withdrawal rights.
Privacy
16.1. Buyer data are processed for specified purposes in compliance with legal provisions.
16.2. Personal data provided by the buyer are used to execute the purchase agreement and accessed confidentially, shared only with third parties involved in ordering, payment, and delivery.
16.3. The buyer has the right to request information on data usage, correction, blocking, or deletion if there's no legal requirement to store it.

Change of Buyer’s Address
17.1. The buyer must inform the seller of any changes to their residential or business address if contractual obligations remain. Otherwise, all communications to the last known address are considered valid.
Intellectual Property
18.1. Plans, sketches, technical documents, catalogs, brochures, illustrations, and similar materials remain the seller’s intellectual property. The buyer has no rights to use them.
Right of Return
19.1. Except in consumer transactions, in justified complaints (excluding withdrawal), the buyer is not entitled to a full refund but only a proportionate amount of the gross invoice value.
Prohibition of Further Processing
20.1. Products purchased may only be further processed if such processing complies with all applicable laws.
Governing Law & Contract Language
21.1. Croatian law applies, excluding the UN Convention on Contracts for the International Sale of Goods and reference norms of international private law. Mandatory consumer protection laws of the buyer’s residence apply. The contract language and execution are in Croatian.
Jurisdiction & Place of Performance
22.1. For entrepreneurs or public entities, the seller’s seat is the place of jurisdiction and performance. For consumers, statutory provisions apply.
